Terms and Conditions

1. About these terms
uncappedacquisition.com (the "Site") is operated by Uncapped Acquisition B.V., trading as Uncapped Acquisition, registered under number [Registration No.], VAT [VAT No.], at Dokter Frans Fouquetstraat 13C04, 6211 WH Maastricht, the Netherlands ("Uncapped Acquisition", "we", "us").
These terms apply to your use of the Site, our free content, and any program, coaching or service you buy from us (the "Services"). By using the Site or buying a Service, you agree to them. If you sign a separate client agreement with us, that agreement prevails where it differs from these terms.
We may update these terms. The version on the Site at the time you use it, or at the time you sign up for a Service, applies.
2. Who our Services are for
Our Services are designed for businesses and professionals, not consumers. By buying, you confirm that you act for business purposes and are at least 18 years old. If you sign up on behalf of a company, you confirm you have authority to bind it.
3. Our Services
We provide education, coaching, consulting, templates and implementation support to help businesses build client acquisition systems. The exact scope, format, duration and price of each program are set out in the offer or client agreement you accept.
We deliver the Services with reasonable care and skill. We provide guidance and frameworks; you remain responsible for your business decisions, for how you implement our advice, and for complying with laws that apply to your business, including advertising, e-privacy and data protection rules for your outreach.
4. Fees and payment
- Prices are shown or agreed before purchase and are exclusive of VAT unless stated.
- Payment is due in full upfront or in the instalments agreed. Instalment plans are a payment convenience, not a monthly subscription you can cancel; the full program fee is owed.
- Payments are processed by our payment providers. You authorise us to charge the agreed method on each due date.
- If a payment fails, we will contact you. If it stays unpaid for 14 days, we may pause your access until the account is settled, and charge statutory interest and reasonable collection costs.
- Refunds are covered by our Refund Policy.
5. Your account and access
Some Services require an account on our portal or community platform. Keep your login confidential; you are responsible for activity under your account. Access is personal to you and the team members we agree in writing. Sharing logins or redistributing materials is not allowed and may lead to removal without refund.
6. Community and conduct
If your program includes a community, calls or chat, you agree not to:
- harass, abuse or threaten others, or post unlawful, defamatory or offensive content;
- pitch, solicit or recruit members without our written permission;
- collect other members' contact details for marketing;
- share other members' confidential information outside the community;
- impersonate anyone or misrepresent your affiliation;
- upload malware, scrape the platform, or try to gain unauthorised access.
We may remove content and suspend or remove anyone who breaks these rules. Removal for a serious or repeated breach does not entitle you to a refund.
7. Intellectual property
All content on the Site and in our programs (trainings, videos, scripts, templates, frameworks, software and branding) belongs to us or our licensors.
While you are an active client and have paid in full, we grant you a non-exclusive, non-transferable licence to use the materials in your own business. You may adapt templates and scripts for your own outreach. You may not resell, republish, share, teach or package our materials, or use them to create a competing program.
You keep ownership of content you create and of your business data. If you share feedback, results or testimonials with us, you allow us to use them to improve and market our Services, and we will ask before naming you publicly.
8. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only for the Services. This does not apply to information that is public, already known, or required to be disclosed by law.
9. No guarantee of results
Results depend on your offer, market, effort, budget and execution. Except for any written guarantee in our Refund Policy or client agreement, we do not promise any specific number of leads, appointments, clients or revenue. See our Earnings Disclaimer.
Nothing we provide is legal, tax, financial or investment advice. Consult qualified professionals for those matters.
10. Third-party tools and links
We may recommend or link to third-party software and websites. We do not control them and are not responsible for their content, availability, pricing or privacy practices. Your use of them is governed by their own terms.
11. Limitation of liability
To the maximum extent permitted by law:
- the Site and free content are provided "as is", without warranties of any kind;
- we are not liable for indirect or consequential loss, including lost profits, revenue, data, opportunity or goodwill;
- our total liability arising from or related to the Services is limited to the fees you paid us in the 3 months before the claim arose.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, intent or gross negligence, or any liability that cannot be excluded by law.
12. Indemnity
You will compensate us for claims, losses and reasonable costs arising from your breach of these terms, your misuse of our materials, or your business activities, including outreach you send.
13. Suspension and termination
We may suspend or end your access if you materially breach these terms, fail to pay, or behave abusively towards our team or members. Program term and cancellation rules are in your client agreement and our Refund Policy. Sections on intellectual property, confidentiality, liability and payment obligations survive termination.
14. Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, such as platform outages, illness, natural disasters or government action.
15. General
- Assignment: you may not transfer your rights without our written consent. We may transfer the agreement to a group company or a buyer of our business.
- Severability: if part of these terms is invalid, the rest stays in force.
- No waiver: not enforcing a right does not mean we give it up.
- Entire agreement: these terms, our policies and any signed client agreement are the entire agreement on their subject.
- Notices: to us at help@uncappedacquisition.com; to you at the email on your account.
16. Governing law and disputes
These terms are governed by the laws of the Netherlands. We will first try to resolve any dispute informally. If that fails, disputes go exclusively to the competent court in Maastricht (Rechtbank Limburg), unless mandatory law says otherwise.
17. Copyright complaints
If you believe content on the Site infringes your rights, email help@uncappedacquisition.com with the work concerned, where it appears on the Site, your contact details and a statement that you are the rights holder or authorised to act for them. We will review and remove infringing material where appropriate.
